Startup Equity Allocation Benchmarks & Rules of Thumb

Standard equity distribution benchmarks for founders, employees, advisors, and funding rounds.

A practical cap table structuring guide based on standard startup market benchmarks. It outlines specific allocation percentages for co-founders, early hires, ESOP pools, and advisors to avoid premature dilution ahead of fundraising rounds and eventual exit.

How it works

Startup Equity Allocation Framework:

  1. Co-Founders:
  2. Split: Ideally 50:50 equal split, even if one founder joins 6–12 months later (assuming no funding has been raised).
  3. Pre-existing IP/Patents: If a founder spent substantial cash developing the product/IP, add at most 10–15% extra; if it was just unpaid time invested, keep it 50:50.
  4. Vesting: Always implement 4-year reverse vesting with a 1-year cliff to protect equity if a co-founder leaves.
  5. Early Employees & ESOP Pool:
  6. First Employee: ~0.75% to 1% equity.
  7. First 10 Employees: Collectively should receive no more than ~2.5% of the company.
  8. CXO Hires (post-Series A): 2% to 4–5% equity.
  9. ESOP Pool: Start at 7%–8% and expand up to a maximum cap of 20% by IPO (10–12 years out). Standard 4-year straight-line vesting with a 1-year cliff.
  10. ESOP Pool Expansion Formula: When expanding, double the unissued pool (e.g., if 5% is allocated from an 8% pool, remaining unissued is 3%; new pool becomes 5% + 2x3% = 11%).
  11. Performance Increments: Offer key employees the choice between cash increments or 2x–3x the increment value in equity.
  12. Advisors:
  13. Individual Allocation: 0.25% each (exceptions up to 0.5%).
  14. Total Advisor Pool: No more than 2% total across 4–5 advisors.
  15. Vesting: Standard 2-year vesting schedule.
  16. Funding Rounds & Target Cap Table at IPO:
  17. Dilution per round: Sell no more than 15%–20% equity in any single round (targeting 24 months of cash runway).
  18. Target distribution at IPO: Founders retain ~15% collectively, employees/advisors hold ~15% via ESOP pool, and external investors hold no more than ~70%.

What it's for

  • Determine equity splits and vesting schedules between early co-founders
  • Calculate ESOP pool sizes and allocation limits for initial hires
  • Plan equity dilution targets per funding round up to IPO

Key points

  • Co-founder split: Aim for equal 50:50 splits with a 4-year reverse vesting schedule and a 1-year cliff
  • Early hires: Allocate 0.75%–1% for the first employee, capping the first 10 employees at 2.5% combined
  • ESOP management: Start pools at 7%–8%, expanding up to a 20% cap by IPO using an unissued pool doubling formula
  • Advisor compensation: Grant 0.25%–0.5% per advisor with 2-year vesting, capping total advisor equity at 2%
  • Fundraising dilution targets: Limit dilution to 15%–20% per round, targeting roughly 15% founder retention at IPO

Why it was saved

  • @casarthakahuja, 10 July 2023: Prevents early founders from giving away too much equity too early and provides standard market ranges for cap table structuring.
